This page sets out who we are, the capacities in which we are registered to act, how we are paid, the risks attached to the products we distribute, and how to raise a complaint. It applies to this website, to every communication we send, and to all content we publish on any platform.

Please read this first. Finogent Solutions LLP is not a SEBI-registered Investment Adviser and not a SEBI-registered Research Analyst. We act as a distributor and as an authorised person. Nothing we publish or send is investment advice, a research report, or a recommendation to buy or sell any security, scheme, policy or property. See section 4.

We publish content under the personal brands “Rajat Dhar — The Money Sage” (wealth) and “Rajat Dhar — The Property Sage” (real estate). Both are trading styles of Finogent Solutions LLP and its Managing Partner, and carry the same registrations and disclosures set out on this page.

2. Registrations, and the capacity in which we act

We act in several distinct regulated capacities. Each transaction falls under one capacity only, and the applicable registration is disclosed on the communication relating to it.

Insurance is kept separate. Insurance solicitation is carried out solely under the IRDAI licence above. Insurance communications do not carry, and must not be read alongside, our SEBI, AMFI or APMI registrations.

Real estate is kept separate. Real estate activity is carried out solely under the HRERA agent registration above and is governed by the Real Estate (Regulation and Development) Act, 2016 and the Haryana rules made under it. It is not a securities-market activity.

Our HRERA registration covers Haryana only. We do not market real estate projects in any other state unless and until we hold that state's RERA agent registration.

3. What we do

Finogent Solutions LLP provides wealth-management and distribution services to resident and non-resident individuals, families and family offices. In practice that means:

  • executing transactions in securities as an authorised person of our principal stock broker;
  • distributing mutual fund schemes, and facilitating subscriptions to portfolio management services and alternative investment funds as a distributor;
  • distributing bonds, non-convertible debentures and market-linked debentures;
  • soliciting insurance under our IRDAI licence;
  • acting as a registered real estate agent in Haryana;
  • publishing investor-education material.

Every product is issued, managed or promoted by a third party. We are the distributor or intermediary, never the issuer, manager or promoter. Your relationship on the underlying product is with that issuer, asset management company, portfolio manager, fund manager, insurer or developer.

4. What we are not

  • We are not a SEBI-registered Investment Adviser. We do not provide investment advice for consideration, and we do not hold ourselves out as an adviser.
  • We are not a SEBI-registered Research Analyst. Nothing we publish is a research report. We do not issue buy, sell or hold recommendations, target prices, fair-value estimates or earnings estimates on any named security.
  • We are not a portfolio manager. We do not manage, pool or hold client funds or securities on a discretionary basis.
  • We do not accept client money into our own accounts for investment. All subscriptions, premiums and consideration are paid directly to the regulated issuer, AMC, manager, insurer or the relevant escrow or collection account, through banking channels in the client's own name.
  • We do not guarantee, assure or indicate any return, yield, capital protection or appreciation on any product or property.
  • We do not offer tax or legal advice. Please consult your own chartered accountant and lawyer on your specific position.

If any communication you receive from us appears to conflict with this section, this section prevails. Please tell us at once using the details in section 10.

5. How we are paid, and conflicts of interest

We are remunerated by the product manufacturers and issuers whose products we distribute, not by a fee for advice. We disclose this plainly because it is a structural conflict of interest, and you are entitled to weigh it.

  • Mutual funds. We receive commission and trail from the asset management company. Commission rates differ between schemes and categories. Distributors are remunerated only on regular plans; direct plans carry no distributor commission and a correspondingly lower expense ratio. You may invest directly with the AMC without using a distributor.
  • PMS and AIF. We receive distribution commission from the portfolio manager or fund manager, which may be paid upfront, as trail, or both, and differs between products.
  • Bonds, NCDs and market-linked debentures. We receive distribution commission or a dealing spread from the issuer or arranger.
  • Broking. We receive a share of the brokerage charged by our principal stock broker on transactions executed through us.
  • Insurance. We receive commission from the insurer as permitted under IRDAI regulations.
  • Real estate. We receive brokerage or channel-partner commission from the developer or seller.

The rate of remuneration may differ between comparable products. We will tell you, on request and before you commit, how we are remunerated on any product we place in front of you. Ask us.

Other interests

  • Finogent Solutions LLP, its partners, employees and their families may themselves hold or transact in products of the same categories we distribute.
  • We may distribute more than one product from the same issuer or group. Where that creates concentration for you, we will say so.

6. Risk disclosures

Every product we distribute carries risk of loss, including loss of the entire amount invested. Past performance is not indicative of future results. Returns shown anywhere by us, or by a manufacturer, are historical or illustrative and are not promised.

Securities markets and mutual funds

Investments in securities markets are subject to market risks. Read all scheme-related documents carefully before investing. The net asset value of a scheme may go up or down with market movements and with factors affecting the securities market.

Portfolio Management Services and Alternative Investment Funds

PMS and AIF investments carry market risk, concentration risk, illiquidity and structure-specific risks set out in the Disclosure Document or Private Placement Memorandum. Minimum investment thresholds apply under SEBI regulations. AIF units are offered by private placement only, to persons meeting the eligibility criteria in the Private Placement Memorandum, and there is no assured or guaranteed income. Read the PPM or Disclosure Document in full, and consult your tax and legal advisers, before subscribing.

Bonds, NCDs and market-linked debentures

These carry credit risk on the issuer, interest-rate risk, liquidity risk after listing, and tax risk. A credit rating is an opinion and not a guarantee, and may be revised or withdrawn at any time. Principal protection in a principal-protected market-linked debenture is a contractual obligation of the issuer and depends on the issuer's ability to pay. It is not a guarantee from any exchange, from SEBI, or from any deposit-insurance programme, and these instruments are not a substitute for a bank deposit.

Insurance

Insurance is a subject matter of solicitation. Benefits, exclusions, waiting periods, lock-ins and surrender values are governed entirely by the policy wording. Unit-linked products carry investment risk borne by the policyholder. Read the sales brochure and policy document carefully before concluding a sale.

Real estate

Real estate investments are illiquid and carry market-cycle risk, developer execution and delivery risk, approval and title risk, and regulatory risk. Past appreciation of any location, project or asset class does not indicate future results. Possession dates are as disclosed by the promoter to HRERA and are verifiable at haryanarera.gov.in. We do not represent that any project will appreciate, and we do not offer assured rent, assured return or buy-back arrangements.

Cross-border and NRI investors

Non-resident investors are additionally subject to FEMA, to repatriation limits, to withholding tax, and to the tax law of their country of residence, which may treat Indian investments differently from Indian law. Obtain advice in your country of residence before investing.

7. Content, social media and AI

We publish investor-education content on this website and on platforms including YouTube, LinkedIn, X, Instagram and Facebook, and we send it by email and WhatsApp to people who have asked to receive it. All of it is subject to the following.

  • Education only. Our public content is general in nature, is not tailored to any person's objectives, financial situation or needs, and is not a recommendation or a solicitation of any product.
  • No product names in public content. As a matter of policy, our public content teaches categories. Specific funds, schemes, issuers and managers are discussed only in direct communication with clients and prospects who have asked for it, subject to the applicable offer document and eligibility.
  • Sources. Figures are attributed to their source and dated. Third-party data is believed reliable at the time of publication but is not independently audited by us. Any example described as illustrative is exactly that, and is not a client, a projection or a promise.
  • Content ages. Law, tax, rates and market data change. Content is correct to the best of our knowledge on its publication date and is not updated afterwards.
  • AI assistance. We use artificial-intelligence tools in researching, drafting and producing content. Every published output is reviewed by us before release, and we remain responsible for it.
  • Comments and impersonation. We never solicit payments through social-media comments or direct messages, and we do not operate trading or investment groups on messaging platforms. Our official channels are listed in [link to your channel list / footer]. Please report impersonation to us.

8. Real estate: additional disclosures

Where we market a specific real estate project, that communication will carry the project's own HRERA registration number, the name of its promoter, our agent registration number, and a reference to haryanarera.gov.in for independent verification.

  • Prices, payment plans, unit availability, specifications and timelines are indicative, are set by the promoter, and are subject to change. Verify everything against the promoter's sanctioned documents and HRERA disclosures before committing.
  • Possession dates are stated exactly as disclosed to HRERA.
  • We do not market any project before it is registered with HRERA.
  • The Builder-Buyer Agreement is the governing instrument between you and the promoter. We recommend independent legal review before you sign.
  • We make no representation of guaranteed appreciation, assured returns or assured rental yield on any property.

9. Your rights, and do's and don'ts

You are entitled to

  • fair, honest and transparent treatment, and to be told the capacity in which we are acting;
  • know how we are remunerated on anything we place in front of you;
  • receive all statutory documents — scheme information, disclosure document, PPM, key information document, prospectus, policy wording, builder-buyer agreement — before you commit;
  • invest directly with a manufacturer without using a distributor;
  • have your personal data handled confidentially, as set out in section 12;
  • a timely response to a complaint, and escalation to the regulator if we do not resolve it.

Please do

  • deal only with our registered channels, and verify our registration numbers with the regulator concerned;
  • read the offer document before investing, not after;
  • make payments only to the manufacturer, issuer, insurer or designated escrow account, always from your own bank account, and always keep the receipt;
  • insist on written confirmation of anything material that is said to you verbally;
  • keep your KYC, nomination and contact details current.

Please do not

  • transfer funds to any individual's personal account, including ours, for investment;
  • act on any offer of guaranteed, assured or fixed returns on a market-linked product — from anyone;
  • share your trading or demat passwords, OTPs or login credentials with anyone, including us;
  • sign an incomplete or blank form;
  • rely on social-media tips, forwarded messages or unverified groups claiming to represent us.

10. Complaints and grievance redressal

If something is wrong, tell us first. We aim to acknowledge every complaint within [1–2] working days and to resolve it within [21] days, or to explain why more time is needed.

Step 2 — the manufacturer or our principal

Because we act as a distributor and as an authorised person, many matters are properly addressed by the entity that holds your money or your contract:

  • Broking and demat matters: SMC Global Securities Ltd., our principal stock broker — [SMC investor-grievance email and page, to be confirmed with SMC compliance].
  • Mutual funds: the investor-relations officer of the relevant asset management company, named in the scheme information document.
  • PMS / AIF: the compliance officer of the portfolio manager or fund manager, named in the Disclosure Document or PPM.
  • Insurance: the grievance-redressal officer of the insurer, named in your policy document.
  • Real estate: the promoter, and thereafter HRERA.

For disputes in the securities market that remain unresolved after the steps above, SEBI's Online Dispute Resolution mechanism is available at smartodr.in, through which a complaint may be taken up for online conciliation and, if required, online arbitration. These disclosures, this website and our services are governed by the laws of India. Subject to the grievance and dispute-resolution routes above, and to any arbitration mechanism applicable under exchange or regulatory rules, the courts at Gurugram, Haryana have jurisdiction.
